Application-to-Person SMS Messaging Compliance

Program Description

BioGeoTechnics may send SMS communications to individuals who voluntarily opt in through our website forms or other communication channels. Messages may include responses to inquiries, appointment reminders, recruiting and hiring communications, service-related updates, event communications, and other relevant business communications.

Opt-Out Instructions

You may cancel the SMS service at any time by replying STOP to any message received from BioGeoTechnics. After sending STOP, you will receive a confirmation message stating that you have been unsubscribed. You will no longer receive SMS messages from BioGeoTechnics unless you opt in again.

Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

Costs and Message Frequency

Message and data rates may apply to messages sent to you by us and messages sent by you to us. Message frequency varies based on your interactions with BioGeoTechnics.

Users may receive up to four (4) messages per month relating to inquiries, recruiting processes, appointments, service communications, or other business-related matters. For questions regarding your text or data plan, please contact your wireless provider.

Privacy and Consent

By providing your mobile phone number and opting in, you expressly consent to receive SMS communications from BioGeoTechnics at the number provided. Consent is not a condition of purchasing any goods or services.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging opt-in data, consent records, and related personal information will not be sold or shared with third parties for marketing purposes.

Indemnification

You agree to indemnify, defend, and hold harmless BioGeoTechnics, its contractors, licensors, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or relating to your use of our Services, including any violation of our Privacy Policy or these Terms.

Disclaimer of Warranties

Our Services are provided on an "as-is" and "as-available" basis. We do not guarantee that the Services or platform will be free from errors, interruptions, technical issues, or security vulnerabilities.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BIOGEOTECHNICS, ITS DIRECTORS, OFFICERS, EMPLOYEES, THIRD-PARTY AFFILIATES, CONTRACTORS, OR AGENTS WILL NOT BE LIABLE, WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, BREACH OF STATUTORY DUTY, OR OTHERWISE, EVEN WHEN LOSS OR DAMAGE MAY BE FORESEEABLE, FOR:

  1. ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES RELATED TO YOUR USE, MISUSE, OR INABILITY TO USE OUR SERVICES;
  2. ANY INTERRUPTION IN THE USE OF OUR SERVICES OR LOSS, DESTRUCTION, OR CORRUPTION OF DATA; OR
  3. ANY RELATED LOSS OF REVENUE, PROFITS, BUSINESS, OPPORTUNITY, OR GOODWILL.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE PRIVACY POLICY, THESE TERMS, OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE TOTAL AMOUNT YOU PAID US FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Termination of Services

We may, in our sole discretion, restrict or terminate your access to all or part of the Services, deny Services, suspend or permanently delete your account, or discontinue any portion of the Services at any time, with or without reason and with or without prior notice.

Intellectual Property

The trademarks, service marks, trade names, logos, designs, text, graphics, software, and other content displayed on our website are the registered or unregistered intellectual property of BioGeoTechnics or its licensors.

You may not use, reproduce, modify, distribute, publish, display, or create derivative works from our intellectual property without our express written permission.

Unless otherwise indicated in writing, you grant BioGeoTechnics a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, distribute, display, publish, and create derivative works from any submissions, documents, materials, ideas, suggestions, feedback, or other information you provide or communicate to us through a contact form, email, telephone call, or other method of communication.

Future Amendments

We reserve the right to modify or update these Terms at any time. We encourage you to periodically review these Terms for changes.

Your continued access to or use of the Services after updated Terms are posted constitutes your acknowledgment and acceptance of those changes.

Governing Law and Venue

Our Services are protected by applicable copyright, trademark, and other United States and foreign laws.

All claims arising from or relating to our Privacy Policy, these Terms, or the use of our Services will be governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Before escalating any claim or dispute, you agree to make a good-faith attempt to resolve the issue directly with BioGeoTechnics. Your communication should include a description of the issue, any relevant information, and the resolution you are requesting.

YOU AGREE THAT ALL CLAIMS, EXCEPT CLAIMS RELATING TO INTELLECTUAL PROPERTY, WILL BE RESOLVED THROUGH BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION.

IF YOUR CLAIM QUALIFIES FOR SMALL CLAIMS COURT, YOU MAY BRING THE CLAIM IN SMALL CLAIMS COURT INSTEAD OF ARBITRATION.

ANY CLAIM THAT IS NOT ARBITRATED OR RESOLVED IN SMALL CLAIMS COURT WILL BE RESOLVED EXCLUSIVELY IN THE STATE COURTS LOCATED IN DELAWARE OR THE UNITED STATES DISTRICT COURT LOCATED IN DELAWARE.

YOU AND BIOGEOTECHNICS EXPRESSLY WAIVE THE RIGHT TO A TRIAL BY JURY.
